Jonathan Krause is an associate of the firm.  He concentrates his practice in the areas of general corporate, transactional and securities law matters.  Jon handles diverse matters for companies, with particular emphasis on early stage, emerging growth, and middle-market sector enterprises, including business formation, agreements among equityholders, and other general corporate, commercial, and transactional matters.  He also drafts and negotiates documents for, and counsels with respect to, equity financing transactions (including angel and venture capital rounds), private equity transactions, mergers, acquisitions and divestures of companies, project finance and alternative energy transactions, debt financings for private and public companies, and various forms of collaborative and licensing arrangements, including joint ventures,  co-development and co-marketing arrangements, and other commercial arrangements.  Jon also represents issuers in securities transactions involving private placements, public offerings, and ongoing compliance matters.

Jon began his legal career as an associate in the corporate and global finance groups of Orrick, Herrington & Sutcliffe LLP, a renowned international law firm, well known for its representation of early stage and emerging growth companies.  While at Orrick, he represented issuers, underwriters, and purchasers in both mergers and acquisitions and financing transactions.  He also handled infrastructure and energy projects, including those involving wind and solar power generation.  Jon also gained a broad range of experience in private entity formation, corporate governance, and SEC disclosure requirements and filings.  In addition, he worked on numerous other agreements, including escrow arrangements, security agreements, limited liability company operating agreements, partnership agreements, shareholders agreements, licenses and joint collaboration agreements, and other documents in connection with corporate transactions and commercial and general corporate matters.

Following college, but before attending law school, Jon served as a Legal Assistant at White & Case LLP.

Jon’s substantive legal experiences are joined with his successful completion of an L.L.M. in Taxation from New York University School of Law, a combination that empowers him to provide value-added services to our clients.  He joined SORINROYERCOOPER in July 2010, eager to apply his corporate, business and tax law skill set to the service of our early stage, emerging growth and middle market clients, both privately held and publicly traded.
