Jedediah Ande is an associate of the firm.  He concentrates his practice in the areas of general corporate, transactional and securities law matters.  Jed handles diverse matters for companies, including drafting and negotiating documents for, and counseling with respect to, equity financing transactions, securities law compliance, private equity transactions, mergers, acquisitions and divesitures of companies, debt financings for private and public companies, business formation, consulting agreements and other general corporate and transactional matters.

Jed began his legal career as a corporate and securities associate in the Philadelphia office of Dechert LLP, an international law firm which has a top ranked, world class practice in corporate and securities law.  While practicing at Dechert, he represented numerous clients in mergers, acquisitions and divestures, equity and debt financings and a myriad of other corporate and commercial matters.  In addition, he has represented investment banks in connection with the issuance of fairness opinions in public company transactions.  He also gained a broad range of experience in private entity formation, corporate governance and SEC disclosure requirements and filings.  During his practice at Dechert, Jed prepared and/or reviewed a wide variety of business and corporate agreements, including asset purchase agreements, disclosure schedules for acquisitions and debt financings, securities purchase agreements, escrow agreements, security agreements, limited liability company operating agreements, partnership agreements, shareholders agreements and other documents in connection with corporate transactions and general corporate matters.
