Catherine Verna is of counsel to the firm. She concentrates on diversified business and legal corporate and commercial matters, including finance, securities law compliance, mergers and acquisitions, licensing and commercial transactions, litigation management, and intellectual property strategies. Her diverse experiences as a law firm partner and associate, coupled with her service as General Counsel and member of senior management of Cytogen Corporation, a publicly held biopharmaceutical company, and as in-house counsel for Amersham Pharmacia Biotech, a $300 million biotech company with genetic sequencing technology, position Catherine well to be a value-added advisor and counselor to biotechnology, pharmaceutical, and information technology enterprises.
Often serving her clients as outside general counsel, Catherine has structured, negotiated, documented, and implemented such diverse transactions as public and private equity financings, divestitures, mergers, acquisitions, licenses, and joint ventures. Her commercial law expertise includes complex licensing transactions, sales and vendor agreements, marketing, manufacturing, and distribution arrangements, research and development contracts, and other biotechnology, pharmaceutical, and high technology commercial arrangements. In addition, she has demonstrated expertise handling complex legal and business issues in both start-up and turnaround environments. During the course of her nearly 20 years in practice, Catherine has managed and closed hundreds of transactions and has advised Boards of Directors and executives in matters of corporate governance, finance, strategic planning, and crisis management. She also has developed and implemented SEC compliance programs for her publicly held clients.
Catherine began her career in private practice, working with Co-Managing Partner Dave Sorin, helping to build the Princeton office of Buchanan Ingersoll from start-up. She then turned to private practice, as legal counsel for Amersham Pharmacia Biotech and subsequently as General Counsel of Cytogen Corporation. Leveraging her corporate experience, Catherine returned to Buchanan Ingersoll as a partner in 2002. She joined SORINROYERCOOPER in November 2009, eager to apply her unique skill set to the service of emerging growth and middle market enterprises.
