Pamela Zimlin Baker is an associate of the firm.  She concentrates her practice in the areas of general corporate, transactional, and securities law matters. Pamela handles such diverse matters as drafting and negotiating documents for and counseling with respect to venture capital financings, private placements of securities, mergers and acquisitions, business restructurings, employment and consulting agreements, limited liability companies and partnerships, and equity incentive plans.   Prior to attending law school, Pamela, a Certified Public Accountant, was a member of the audit staff of Ernst & Young LLP in Baltimore, Maryland.  Pamela interned as a corporate law clerk in the legal department of The Rouse Company, then one of America’s leading real estate developers and managers of income-producing real estate, during her second and third years of law school.  During her tenure at The Rouse Company, she developed securities law experience by assisting in the preparation and review of securities filings and other SEC compliance matters.  Pamela also was actively involved in the conversion of the company to a real estate investment trust.

Pamela began her formal legal career as a corporate lawyer in the New York office of Piper & Marbury LLP (now DLA Piper), one of the nation’s largest law firms.  She handled numerous public and private securities offerings and matters of SEC compliance, as well as general corporate matters.  When Pamela and her family relocated to Boston, she joined the prestigious national law firm Goodwin Procter LLP, continuing her focus on corporate and securities law, including matters relating to formation of private equity funds, public and private offerings, venture capital transactions, mergers and acquisitions, and general public company matters, such as SEC disclosure requirements and filings.  Pamela’s family then relocated to the Philadelphia area where she joined a local general practice firm as an associate, drafting a wide variety of business and corporate agreements, including limited liability company and limited partnership agreements, employment agreements and agreements and other documents in connection with mergers and acquisitions and other corporate transactions.  She joined the previous firm of our co-founding and co-managing partner John Royer, Royer & Associates, LLC, upon its inception, where she had been practicing until joining the firm.

Pamela’s experience as a CPA, together with the skills derived from her tenure at a large corporation and both national and boutique law firms, positions her well to continue to provide sophisticated value-added services to our targeted emerging growth market.
